	CMSA Referral Rewards Program Official Affiliate Program of the CMS Association Inc. - Please read this agreement carefully. By signing up, you indicate your acceptance of this agreement and its terms and conditions. To be an Authorized Affiliate in the CMS Association's CMSA Rewards Program, you agree to abide by the terms and conditions contained herein. You must read, agree to, and accept the terms and conditions contained in this user agreement before you may participate in the CMSA Rewards Program. To participate as an Affiliate, you are required to complete an Affiliate Application. Upon completion by the Affiliate Applicant, the application will be evaluated, and CMSA will notify you of your acceptance in a timely manner. At our discretion, we may decide for any reason that your site/organization cannot participate in our Affiliate Program. In this agreement, the term "Affiliate" refers to you (the applicant). Wherever the agreement refers to "you" or "your," it means "Affiliate." The terms "we", "our", and "us" throughout this user agreement refers to the company CMS Association Inc (or “CMSA”), the company that has created the CMSA Rewards Affiliate Program. If you are a US resident, we will request that you provide us with your Social Security Number or Tax ID number. We do not require this information for international affiliates. Commission Payments Affiliates must be PayPal members in order to receive payment. Commissions will be paid to Affiliates based on successful referrals within 30 days of the close of each CMS Expo of a successful referred sale. “Successful referred sale” is defined as: non-fraudulent; AND a customer who has paid for services in full and has been directed to the CMSA Affiliate Network through your Affiliate Tracking Link; AND a customer who has NOT canceled his/her order. If cancellation occurs, CMSA will provide at our discretion any and all non-private information to show sufficient reason for cancellation. Due to the high frequency of credit card fraud and cancellation rates, CMSA reserves the right to hold commissions for up to 60 days for verification. CMSA also reserves the right to cancel commission in the event that CMSA is unable to collect funds, the order is fraudulent, the customer cancels and is refunded, or if CMSA learns that the commission was earned improperly. Unless other arrangements exist, CMSA will send payment via PayPal to the Affiliate for the applicable commissions within 30 days of the close of each CMS Expo. If any order that generated a referral fee is canceled by the customer, or if there are any returned checks or charge-backs, the amount will be deducted from the next monthly payment. If there is no subsequent payment, the Affiliate will be invoiced and that commission will be paid on a timely manner (within 15 days). CMSA Customers and Order Fulfillment Customers who purchase products and/or services through the Affiliate Program will be deemed to be customers of CMS Association. Hence, CMSA will be solely responsible for processing every order placed by a customer on the Affiliate Site. Accordingly, all CMSA rules, policies and operating procedures concerning customer orders and service will apply to those customers. CMSA may change policies and operating procedures at any time. CMSA policies will always determine the price paid by the customer. Qualifying Sites – Acceptable Use CMS Association reserves the right to deny application of Affiliate, or cancel, without payout, any Affiliate, based on the Affiliate's actions and/or site content. Affiliate / Applicant sites be reviewed initially, and from time to time during the Affiliate relationship. If CMSA deems the Affiliate's site, email or other content to be inappropriate for any reason, the Affiliate application may be denied, or existing Affiliate relationship may be terminated at any time. Examples of unacceptable content include, but are not limited to: - Competition to CMSA - Offensive (pornographic, violent or abusive) content Additionally, Referral Rewards Applicants / Affiliates May NOT: - Earn a referral reward for their own purchase. - Violate the privacy, publicity or personal rights of others. - Infringe on the intellectual property rights of others, i.e., copyrights, trademarks, trade secrets, plagiarism, software piracy, patents, music, images, or other proprietary or property right. Materials that infringe on the intellectual property rights may not be distributed to others. - Include Defamatory or Abusive Language. Sites may not contain any material that is unlawful, harmful, fraudulent, abusive, vulgar, hateful, racial or otherwise objectionable, including, without limitation, any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national or international law. - Affiliate sites or links with defamatory, abusive or threatening language will be terminated. - Distribute viruses or worms or provide information on how to send them. Any site promoting any form of cyber crime or other improper computer activities will be subject to immediate termination. - Distribute unsolicited email (“spam”). Spam is defined as any unsolicited email whether commercial or non-commercial in nature. Spam includes, but is not limited to, the sending of ANY unsolicited information to a person or group that has not specifically asked to receive that particular information or is not a personal acquaintance of the individual sending the information. Affiliates may promote CMS Association to "opt-in" lists ONLY. If you run a newsletter, e-zine, or other kind of bulk email service, you must have evidence that people signed up to receive email from you. Any and all spam complaints will be investigated thoroughly. - Do NOT send any email to any type of mailing list or opt-in list that has been purchased or acquired from an outside individual or party. - Do NOT send any email to any type of manually or automatically harvested list of email addresses, names, or contacts. - Do NOT send any email to any type of "lead" or "prospect" before you have received a request for more information. - Do NOT fax any message to any recipient that has not requested the information first. Do NOT send inappropriate postings to any newsgroup or forum that violates their anti-spam regulations. Any Affiliate that engages in spam or in promoting prohibited products or services in connection with their site in any way shall have their affiliate contract terminated and forfeits any or all affiliate commissions due to them. The Affiliate also shall be held liable for any and all damages and/or losses as well as legal fees, that may result as a consequence. Relationship of Parties CMS Association and the Affiliate are independent contractors. Nothing in this Agreement shall constitute any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement. No Warranties CMS Association makes no warranties of any kind, whether express or implied, with respect to the Referral Rewards Affiliate Program. CMSA is not responsible for damages suffered by any customer, including incidental damages or lost profits. CMS Association makes no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. All content in the CMSA software and affiliate program is provided to you "as is" without warranty of any kind either express or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security or accuracy. Additionally, CMSA in no way guarantees financial success through the affiliate program or that any users of the affiliate program or our products will make money in any amount. We are not offering you a guaranteed business opportunity of any sort. Term of the Agreement The term of this agreement shall commence upon 1) Your acceptance; and 2) CMSA acceptance of your Affiliate program application. This agreement will end when terminated by either involved party, in writing. You, and CMSA reserve the right at any time to cancel this relationship, with or without cause, by giving notice of termination. Once terminated, you will not be eligible to receive commissions for any future referrals. Limitations of Liability CMSA is not, and will not be liable for incidental, special, indirect, or consequential damages, or any loss of revenue, profit, or data arising in connection with this agreement. The total loss of either parties will not exceed the total commissions paid or payable to you under this agreement. Indemnification You agree to indemnify and hold harmless CMS Association Inc, and our subsidiaries, affiliates, directors, officers, employees against any and all claims, losses, demands, damages, expenses, settlements. Governing Law The laws of United States, the State of Illinois and the County of McHenry will govern this Agreement, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Cook County, Chicago, Illinois, or County court in McHenry County, Woodstock, Illinois. These Terms of Service May Change Due to our evolving business, and the changing nature of the industry, these terms of service may change. We will post the changes here, and your continued use of the service means you accept the changes we have made. Complete Understanding/Modification These Terms & Conditions constitute the full and complete understanding and agreement between you and CMS Association relating to the subject matter hereof, and supersede all prior understandings, agreements, representations and warranties relating to such subject matter. Any waiver, modification, or amendment of any provision of this Terms & Conditions, initiated by you will be effective only if accepted in writing and signed by CMS Association. I AGREE TO THIS AGREEMENT AND ACKNOWLEDGE THAT I HAVE READ THESE TERMS AND CONDITIONS BY SUBMITTING MY AFFILIATE APPLICATION. Last Revised: January 3, 2011
